Are you looking to Sell your Business and looking to put together the necessary documentations (i.e. The Virtual Data Room - VDR) that potential buyers will require to assess the business and make a decision?
Not being quite aware of the upsides in your business can make you end up with a bad deal during the sale transactions. This is why conducting a Vendor Due Diligence is necessary as it helps you to identify the upsides, potential red-flags that buyers might flag during the sale to undercut your asking price. Its important you know every aspect of your business finances in order to obtain a good/fair deal for your proposed sale and to be in control throughout the negotiation process.
Are you also looking to raise funds for your startup/business from potential investors?
Is your data room GOOD ENOUGH to raise millions? Due diligence is the #1 spot where even the most talented founders get held up or you simply notice buyers not being interested enough in your sale - Your dataroom might be secretly holding you back.
❓𝗞𝗲𝘆 𝗤𝘂𝗲𝘀𝘁𝗶𝗼𝗻𝘀
Am I giving investors data overload? Or not enough?
What actually NEEDS to be in my VDR?
Is this what professional VC investors are expecting to see when they ask for my Due Diligence report?
What am I MISSING?
✅ 𝗪𝗵𝗮𝘁 I will 𝗗𝗼 for you
1. Review your Data room and Investment Memorandum (I will develop one for you if you don't already have one)
2. Perform a Normalized Quality of Earnings Analysis (QoE) to reflect the sustainable level of earnings and project it forward for buyers consideration.
3. Identify the weak spots
4. Give you the strategies & best practices that pro-founders use and buyers generally require in order to assess a business before making a buy-decision.
✅ The Deliverables
The deliverables or what I develop for you will be an Investment Memorandum (IM) which includes an independent Financial Due Diligence report, a PowerPoint report of the DD, an Excel-based Financial Analysis of your business (covering the operational, commercial, HR etc aspect of the business making sure we identify any problems, poke holes and pressure-test so you won't blow the deal by giving a multi-million dollar investor a pile of garbage due diligence info) and finally a designed Sale Proposal or Sale Teaser which you can use to attract buyers for the sale.
