Work Terms
Scope & Services:
The consultant will provide strategic consulting services, as defined in the project outline and confirmed in an appendix.
Project Timeline: Timelines and deliverables will be agreed upon and attached as an appendix.
Fee Structure:
Initial Consultation: Free of charge for the first hour.
Proposal Consultation: £97 per hour.
General Consulting: £197 per hour.
Project-Based Fees: Fixed budgets may be agreed upon.
Invoicing: Issued bi-weekly, payable within 7 days.
Retainer Option: Option for 20 hours per month at a fixed rate, renewable quarterly.
Non-Disclosure Agreement (NDA): Available upon request to protect confidential information.
Intellectual Property:
Background IP remains with the original owner (Client or Consultant).
Foreground IP: Consultant retains IP rights for improvements on its own tools, while all other deliverables are owned by the Client. Consultant grants a license for Foreground IP use as needed.
Communication: Weekly video check-ins and progress updates.
Revisions: Up to two rounds of revisions per deliverable are included; further revisions may incur additional fees.
Termination: Either party may terminate with 30 days' notice. Payment for work completed to the termination date is required.
Liability: Consultant’s liability for any claims or damages is limited to fees paid within the last three months.
Force Majeure: Neither party is liable for delays due to uncontrollable events like natural disasters or pandemics.
Dispute Resolution: Mediation is the first step for dispute resolution, with arbitration as a secondary option.
Expense Reimbursement: Client will reimburse Consultant for reasonable out-of-pocket expenses, with receipts provided.
