Consulting (my own firm): (1) out-licensing for small biopharmaceutical firms & developing strategy & action plans to acquire legacy Rx pharmaceutical products. Responsible for: Research, benchmarking & target identification; financial analysis & valuations; contract drafting & negotiation; tax & entity planning; examining financial reporting issues; pitching to prospective licensees & investors. (2) Development & implementation of corporate governance policies & mechanisms for privately held firms, including those at the venture stage.
Licensing & Business Development for Merck & Co., Inc. (“Merck”):
Concluded more than 50 agreements with both major pharmaceutical firms & biotechnology firms in the US, Europe and Japan. Responsible for: compound & technology in-licensing for all therapeutic classes in Japan & for several major classes globally; leading cross-functional teams evaluating & bidding on opportunities; leading smaller teams in negotiations & contract finalization; obtaining approval for deals from senior management & the Board of Directors; usually following team presentations, licensing rights to marketed Merck products to strategic partners in Europe; including contract negotiations, pricing decisions & tax planning; local European market acquisitions, developing & leading a 2-day business development workshop for Merck executives.
Marketing, Merck UK: Responsible for marketing planning & operations for all marketed & new products, including promotional materials.
Chief Financial Officer, Merck Canada: Responsible for: financial planning & reporting; tax planning & dealing with tax authorities; accounting, IT & general administration; strategic planning
Chief Financial Officer, Pharmacia Canada, Montreal: Responsible identical to Merck Canada plus supply chain, logistics & fulfillment

Work Terms
$50/hour with time tracked and reported with a 20 hour minimum, allocated according to agreed upon work plan; reimbursement of any agreed upon out-of pocket expenses. Communication can be either by email or by phone, depending on the circumstances.
