Work Terms

Ownership and Deliverables:
The Consultant shall retain ownership of any materials, documents, or intellectual property created or developed exclusively in the course of providing the services under this Agreement. The Client shall have a non-exclusive, royalty-free license to use such materials for its internal business purposes.
Termination:
Either party may terminate this Agreement upon 5 days’ written notice to the other party. In the event of termination. In the event of termination, the Client shall pay the Consultant for any services performed up to the date of termination, prorated based on the Fixed Fee.
Confidentiality:
The parties agree to maintain the confidentiality of any confidential information exchanged in connection with this Agreement, both during and after the term of the Agreement.
Liability and Indemnification:
The Consultant will perform services with reasonable skill and care and to the standards prevailing in the industry. The Consultant is not liable for any indirect, special, or consequential losses; loss of profits; or economic damage incurred by the Client. Both parties agree to indemnify and hold harmless one another from any claims, liabilities, or expenses arising from breaches of this Agreement.
